RBS want to call their loan in, meaning that either the club will go bust (cos they dont have any cash) or sell the club to someone who does.

Thats it in a nutshell, if they went bust, they would be deducted points, which would mean they would likely get relegated on current form.

Why is it not up to the owners of the club as to whether they want to sell or not? Doesnt make much sense to me.

they signed bits of paper (the company "articles of association") which gave control of the board to the chairman of the board, rather than themselves as owners.

The legalities of limited companies says that the articles of association are the rules by which any company works at board level.

The owners presumably signed them under pressure from RBS, saying something like "if you don't sign them, we'll call in the debts you owe us right now. If you do sign them then we'll extend the loans for a while, while the club is sold".

The owners thought they'll sell at a huge profit - they talked about £800M. Because the best real offer is £300M, they've thrown their toys out of the pram. I'm not sure if it's correct or not, but on the Liverpool forums (which have been an amusing read this morning) people are saying they've lost £144M on their Liverpool ownership (based on a sale price of £300M), which is of course very different to their hope of making a £400M or so profit.
