I can't see a difference either, arsenal have been told (possibly incorrectly by an agent) that price x meets a clause and have tried to exploit the clause. It is possibly slightly different to Liverpool bidding for Costa as I think in la liga all release fees are public but no different to any premiership release clause.

Like I said, it's an unusual number because of the clause - nothing more nothing less. If the clause required an offer of £40m exactly, that would have been the offer.

Difference there is RVP a) didn't make up a crappy excuse as to why he wanted to leave and

b. had given years of loyal service

whereas Suarez has a) said he wanted to leave England cos of the media, but now Madrid aren't interested wants to go to Arsenal and

b. had one season where he's fired on all cylinders (the season before he was awesome but couldn't score), but has missed a shed load of games through avoidable suspensions.
